Last updated: October 19, 2026 VITREOS END USER LICENSE AGREEMENT This End User License Agreement (this "EULA") governs your ("You" or "Your") access to and use of VitreOS, including the VitreOS web application at https://www.vitreos.org, the VitreOS iOS and Android apps, and any related services offered through it (collectively, the "Services"). The Services are provided by HeliOS Med LLC. In this EULA, "VitreOS", "We", "Us" and "Our" refer to HeliOS Med LLC. This EULA should be read together with the VitreOS Terms of Service (https://www.vitreos.org/terms) and Privacy Policy (https://www.vitreos.org/privacy). By accessing or using the Services, You agree to be bound by this EULA, the Terms of Service and the Privacy Policy. If You do not agree, do not use the Services. 1. Definitions "Case Data" means the surgical training case information You enter into or import into the Services, such as case dates, diagnoses, procedures, Your role in a case, attending, location, structured case options, a de-identified case code, and free-text notes. "Program" means a training program (for example, a vitreoretinal surgery fellowship) whose members use the Services. "Registered User" means a person with a VitreOS account, such as a fellow, faculty member, program director or administrator. "Protected Health Information" or "PHI" means information that identifies, or could reasonably be used to identify, an individual patient, including "protected health information" as defined under the Health Insurance Portability and Accountability Act of 1996 ("HIPAA") and similar information under other applicable health-privacy laws. 2. License Subject to this EULA, We grant You a personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for Your own professional training, education and case-log record keeping, and, where applicable, for the training oversight of Your Program. You may not, and may not allow anyone else to: - copy, modify, create derivative works of, reverse engineer, decompile or disassemble the Services, except to the extent such restrictions are prohibited by law; - sell, rent, lease, sublicense, distribute or otherwise commercially exploit the Services; - remove or obscure any copyright, trademark or other proprietary notices in the Services; - attempt to gain unauthorized access to the Services, other accounts, or data You are not permitted to see; or - use the Services to build a similar or competing product or service. 3. No Protected Health Information; De-identified Data Only VitreOS is a training logbook. It is not a medical device and does not provide medical advice or clinical decision support. VitreOS is not designed or intended to receive, store or process PHI. VitreOS is not offered as a HIPAA business associate service and does not enter into business associate agreements. You must NOT enter or import PHI into the Services. Enter only de-identified Case Data. In particular, do not enter patient names, medical record numbers (MRNs), dates of birth, Social Security numbers, phone numbers, email addresses, addresses, or any other information that identifies a patient, in any field, including the patient identifier field and free-text notes. The patient identifier field is intended only for a de-identified code of Your choosing that cannot be used by others to identify the patient. You are solely responsible for de-identifying Case Data before You enter or import it, and for ensuring that Your use of the Services complies with Your institution's policies and with applicable law, including any obligations under HIPAA or other health-privacy laws that apply to You or Your Program. The Services may display warnings when a value looks like it could identify a patient. These warnings are a convenience only; they will not catch every identifier and do not make any data de-identified. If You believe You have entered PHI, delete or correct it promptly and contact Us at support@vitreos.org. 4. Access to Case Data Access to Case Data in the Services is role-based. Faculty and program directors in Your Program may view Your Case Data and Program reports as part of training oversight, and system administrators can access platform data to operate and support the Services. Our collection, use and sharing of information is described in the Privacy Policy. 5. Accounts You must provide information that is accurate, complete and current when You create and maintain Your account. You are responsible for keeping Your password confidential and for all activity that occurs under Your account. Please notify Us promptly at support@vitreos.org if You become aware of any unauthorized use of Your account. 6. Acceptable Use You agree to use the Services only for lawful purposes and in accordance with this EULA and the Terms of Service. 7. Intellectual Property The Services and their original content, features and functionality are and will remain the exclusive property of HeliOS Med LLC and its licensors. This EULA grants You a license to use the Services; it does not transfer ownership of the Services to You. 8. Changes to the Services The Services are evolving, and features may be added, changed or removed over time. 9. Disclaimer of Warranties TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE, OR THAT REPORTS OR ANALYTICS GENERATED BY THE SERVICES WILL MEET ANY PARTICULAR PROGRAM, CERTIFICATION OR ACCREDITATION REQUIREMENT. 10. Limitation of Liability In no event shall HeliOS Med LLC, nor its directors, employees, partners, agents, suppliers or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation loss of profits, data, use, goodwill or other intangible losses, resulting from Your access to or use of, or inability to access or use, the Services. Some jurisdictions do not allow certain limitations of liability, so some of these limitations may not apply to You. 11. Termination We may terminate or suspend Your account and Your license under this EULA immediately, without prior notice or liability, for any reason whatsoever, including without limitation if You breach this EULA or the Terms of Service. You may stop using the Services at any time. Sections 3, 7, 9 and 10 survive termination. 12. Governing Law This EULA is governed by the same law that governs the Terms of Service, as stated in the Terms of Service. 13. Changes to this EULA We may modify or replace this EULA at any time. We will update the "Last updated" date above when We do. If a revision is material, We will try to provide reasonable notice before it takes effect. 14. Contact Questions about this EULA?
